Agreement to terms

These Terms of Service form an agreement between you and Zenfera Labs. They apply when you browse this website and when you engage us to design and build software. Where a signed proposal, statement of work, or contract exists for your project, that document takes precedence over anything that conflicts here.

Our services

Zenfera Labs is a web and mobile development studio. We build AI-powered systems, scalable web applications, and mobile products, from planning and architecture through delivery and ongoing support. The exact scope, deliverables, and timeline for your project are defined in your proposal or statement of work.

Proposals and engagements

We begin with a conversation and a written proposal describing the work, deliverables, timeline, and price. An engagement starts once you accept that proposal in writing. Changes to scope are handled through a written change request, which may affect the timeline and cost. We will always confirm the impact with you before proceeding.

Fees and payment

• ·Fees, milestones, and the payment schedule are set out in your proposal or invoice.
• ·Invoices are due within the period stated on the invoice. Work may be paused on overdue accounts.
• ·Third-party costs, such as hosting, licenses, and paid APIs, are passed through unless we agree otherwise.
• ·Unless stated, quoted amounts do not include applicable taxes.

Intellectual property

Once we have received full payment for the relevant work, ownership of the custom deliverables we create for your project transfers to you. We retain ownership of our own pre-existing tools, libraries, and know-how, and grant you a license to use them as part of your product. Unless you ask us not to, we may reference the completed work in our portfolio.

Your responsibilities

Good software depends on a good partnership. To keep your project on track, you agree to:

• ·Provide timely feedback, approvals, content, and access we need to do the work.
• ·Ensure you have the rights to any materials you hand to us.
• ·Use the software we build lawfully and as intended.

Confidentiality

Each side may learn confidential information about the other during a project. We both agree to keep that information private and to use it only to carry out the work. This obligation continues after the engagement ends. We are happy to sign a separate NDA where your project calls for one.

Warranties and disclaimers

We deliver our work with professional care and skill. Beyond that, the website and our services are provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that software will be uninterrupted or entirely error free, though we stand behind our work and address defects as agreed in your proposal.

Limitation of liability

To the fullest extent permitted by law, Zenfera Labs is not liable for any indirect, incidental, or consequential losses, including lost profits or data. Our total liability for any claim arising from an engagement is limited to the amount you paid us for the work giving rise to the claim.

Termination

Either party may end an engagement with written notice as described in the proposal. If work stops early, you pay for work completed and for any non-cancelable commitments made on your behalf up to that point. On termination, we will hand over the paid-for deliverables and any materials you provided.

Governing law

These terms are governed by the laws of Pakistan, and the courts of Okara, Punjab have jurisdiction over any dispute, without affecting rights you may have under the law of your own country. Wherever possible, we prefer to resolve concerns through good-faith conversation first.

Changes to these terms

We may update these terms from time to time. When we do, we will revise the date at the top of this page. Continued use of the site or our services after an update means you accept the revised terms.
